Nuveen Municipal Value Fund, Inc. (the Fund) is a diversified closed-end management investment company. The Fund’s primary investment objective is current income exempt from federal income tax. The Fund’s secondary objective is the enhancement of portfolio value through selection of tax-exempt bonds and municipal market sectors. The Fund seeks to invest at least 80% of its assets in municipal securities, the income from which is exempt from regular federal income taxes. The Fund also invests up to 20% of its managed assets in municipal securities that pay interest that is taxable under the federal alternative minimum tax. It invests up to 15% of its managed assets in inverse floating rate securities. It also invests a portion of its managed assets in certain sectors of the municipal securities market, such as hospitals and other health care facilities, start-up utility districts, and private activity bonds, and others.
